Lease events and capital work

Office acquisition review: expose lease-rollover obligations

Office research should connect the rent roll to lease events, tenant obligations and the cost of making space available again. A long remaining term can coexist with a termination right, and a signed renewal can still require capital. Use AI to organize these provisions with document references before turning a building-wide occupancy figure into an income forecast.

01

Expiry is not the only event

The OCC’s CRE handbook identifies lease review and re-leasing costs, including tenant improvements and commissions, as important to cash-flow analysis. Build an event calendar that also records options, notices and termination provisions. A summary expiration date does not establish the earliest possible change in occupancy or the cash needed to retain a tenant.

02

Area and obligation need reconciliation

Connect suite identifiers, lease premises and the basis used for quoted area. A building plan, lease measurement and marketing total may serve different purposes. Preserve the difference rather than choosing one figure for every calculation. Common areas and expense allocations also need their contractual basis, especially when the rent roll combines several generations of lease forms.

03

Capital is not a single allowance

Separate work promised to an existing tenant, expected re-leasing work and building-wide repairs or system upgrades. Assign each item a supporting document, timing and responsible party. AI can group these obligations, but it should not assume that a generic per-foot allowance captures a specific fit-out or that tenant reimbursement removes the owner’s timing exposure.

Keep these separate

A practical review sequence

Build a file another reviewer can follow

Use the sequence below to turn the initial description into specific document requests. Preserve contradictory records instead of choosing the more favorable version.

  1. Assemble the effective lease set

Request executed leases, amendments, side letters and relevant estoppels. List which documents are missing or unsigned. AI can draft an abstract, but retain page references and have a reviewer confirm provisions that change dates, rent, obligations or rights. The latest filename is not proof of the controlling document.

  2. Build the event calendar

Record contractual expiry, option notice, break conditions and committed work milestones separately. Link every date to its clause and identify who must act. Do not infer that an unexercised option will be taken or that a reported renewal has become binding without the relevant signed evidence.

  3. Reconcile expenses and responsibilities

Review operating-expense definitions, exclusions, caps and reconciliation records against the lease. Keep landlord costs and tenant recoveries distinct. Ask the accountant to explain material differences between budgeted and actual recoveries rather than letting an automated summary silently treat all building expenses as recoverable.

  4. Create the rollover request list

For the next significant event, request the space plan, tenant-work obligations, commissioning needs and leasing assumptions. Give legal, building and accounting questions to the appropriate reviewers. The kit produces a reviewable handoff and does not forecast renewals, select market rents or value the building.

Questions that arise during review

Resolve the ambiguity before the model

Can office occupancy prove income durability?

No. It is one dated observation. Durability depends on the actual agreements, obligations and tenant circumstances. Review lease events and collections separately, and preserve any limitations in the supplied evidence rather than summarizing occupied space as guaranteed future income.

Does a renewal remove re-leasing costs?

Not necessarily. The executed renewal may include new work, allowances or other obligations. Record the actual agreement and requested supporting budget. A model should not set the cost to zero because the tenant remains in place.

What can AI extract reliably?

It can propose structured entries from legible supplied documents and highlight conflicting dates or clauses. Reliability still requires checks against the originals, particularly tables, amendments and cross-references. The workflow is designed to make that review easier rather than replace it.

Does office rent commencement mean tenant improvements are fully paid?

No. Record the allowance commitment, payment history and conditions separately. Rent can begin while a documented allowance remains undrawn or subject to approval.
