Hotel operating and contract evidence

Hotel acquisition review: connect operations and contracts

Hotel research should connect room-night operations to the management, franchise and property obligations that continue after a transaction. A room count and annual revenue total do not explain seasonality, unavailable rooms or required reinvestment. AI can organize the operating record and contract dependencies so a reviewer can distinguish actual performance from assumptions about a new owner or brand.

NextAutomation editorial research method. Public sources establish the framework; the worksheet example is fictional and no property has been verified.

What changes the decision

Read the operating model before the headline

01

Ownership, management and brand are distinct

Host Hotels’ 2025 filing describes separate management and franchise relationships and associated transfer conditions. Use that as a prompt to identify the actual agreements at the subject hotel. Do not import the issuer’s fee levels or terms. A brand sign does not establish who owns the property, employs staff or can approve a change in operator.

02

Availability belongs beside revenue

Keep physical rooms, available room nights and rooms sold separate for each period. Record closures, renovations and out-of-order inventory so changes in revenue are not interpreted without their denominator. An annual total can conceal a concentrated interruption or an unusually strong period. Compare consistent periods before asking AI to summarize operating direction.

03

Required work can be contractual

A property-improvement plan, management agreement or transaction condition may create work beyond ordinary maintenance. Separate documented commitments from a proposed refresh budget. Request timing, scope, approval and the party responsible for funding each item. The absence of an invoice today does not establish that a contractually required project has no future cash requirement.

A practical review sequence

Build a file another reviewer can follow

Use the sequence below to turn the initial description into specific document requests. Preserve contradictory records instead of choosing the more favorable version.

  1. Build the monthly operating bridge

Request room inventory, room nights available and sold, departmental statements and records of closures. Preserve the reporting definitions and period. AI can arrange the monthly series and identify gaps, but it should not infer that a revenue movement reflects demand when the room inventory or accounting basis changed.

  2. Identify every operating counterparty

Collect management, franchise, ground lease and major service agreements relevant to the transaction. Record parties, terms, fees and transfer provisions with document locations. Keep a proposed new operator separate from the agreements in force. Ask counsel to establish what approvals would be required for the contemplated change.

  3. Separate maintenance from required upgrades

Request the current property-improvement plan, condition assessments and capital schedule. Identify mandatory timing, work tied to brand continuation and items dependent on a sale. Have qualified reviewers examine scope and cost. A generic reserve percentage should not replace evidence of a specific contractual or physical requirement.

  4. Prepare a transition review

Combine the operating bridge with unresolved contract and capital questions. Assign the next requests to the manager, accountant, brand contact and counsel. The kit produces a review sheet and task list. It does not predict room rates, certify brand transfer or turn historic performance into a promised result under new management.

Questions that arise during review

Resolve the ambiguity before the model

Can room revenue be treated as property rent?

No. Hotel operating receipts and landlord rent arise from different arrangements. Identify the transaction structure and expenses before comparing them. The worksheet preserves the revenue basis so a later operating model does not mix a managed hotel with a leased hotel.

Does a brand stay after a sale?

Read the actual agreement and required consents. A current flag does not prove transferability or continuation on the same terms. Keep proposed retention and documented approval as separate statuses until the relevant parties provide the necessary evidence.

What should AI do with missing months?

Mark the gap and request the source statements. Do not interpolate missing operations and present the result as actual performance. If a later analyst creates an estimate, it should be labelled separately from the documented series and include its assumptions.

What is the difference between ADR and RevPAR?

ADR divides room revenue by rooms sold. RevPAR divides room revenue by room nights available. In the fictional month, ADR is $150 while RevPAR is $105 because occupancy is 70%.

Source 1
Do out-of-order rooms count as available?

Record the reporting source’s stated treatment and apply it consistently. If two reports use different availability definitions, reconcile the denominator before comparing their occupancy or RevPAR.
