Why Transaction Coordination Is the Job Nobody Has Time For
A commercial real estate transaction does not end when the letter of intent gets signed. It starts a new, more demanding phase: dozens of documents to collect and organize, a contingency calendar with real financial penalties attached to it, a task list that touches the buyer, the seller, the lender, the title company, and often three or four different attorneys, and a closing date that everyone is silently negotiating around. Most brokerages run this phase out of email threads, a shared drive, and someone's memory of what is due when. It works until it doesn't, and the failure mode is expensive: a blown financing contingency, a title issue caught two days before closing, or a buyer who goes quiet because nobody told them the appraisal came back.
AI does not replace the transaction coordinator or the broker's judgment on this. What it removes is the manual grind underneath the judgment calls: reading every incoming document to figure out what it is and where it goes, manually re-deriving deadlines from a purchase agreement, chasing the same five people for the same five documents, and writing status update after status update in slightly different words. Here is how that actually works, stage by stage.
Document Collection and Organization
Every CRE deal generates a document pile that arrives out of order and from every direction at once: the purchase and sale agreement, the estoppel certificates, the SNDA, the Phase I environmental report, the survey, the rent roll, the T-12, insurance certificates, loan documents, and title commitments, often as PDF attachments buried in threads with subject lines like "Re: Re: signed docs." An AI system watching the deal inbox or a shared intake folder can read each incoming file, classify what it is, extract the key fields, and file it into the right slot in the deal's document checklist automatically, instead of a coordinator opening each attachment by hand to figure out what just landed.
For example, when the seller's attorney sends over a batch of estoppel certificates for a 12-tenant retail center, the AI reads each one, confirms the tenant name and unit against the rent roll, flags any certificate where the stated lease terms do not match what is on file, and marks that line item complete on the closing checklist. If a document is missing a signature page or references a lease amendment that was never provided, it gets flagged for a human to chase down rather than silently filed as "received." The coordinator's job shifts from opening every attachment to reviewing the exceptions the system surfaces.
Deadline and Contingency Tracking
A commercial purchase agreement is a contract full of dates that trigger real consequences: the due diligence period, the financing contingency deadline, the earnest money release date, the title objection period, the closing date itself, and often a series of extension options with their own notice requirements. Missing one of these is not a paperwork problem, it can mean a buyer forfeits earnest money or a seller loses the ability to enforce a deadline. AI can read the executed purchase agreement, extract every date-bound obligation, and build a contingency calendar automatically, instead of someone manually re-typing dates into a spreadsheet and hoping they got the counting convention right (calendar days versus business days trips people up constantly).
Take a deal where the due diligence period is 45 calendar days from the effective date, with a financing contingency that runs 60 days but can be extended once for 15 days with written notice five days before expiration. The system tracks all three dates against the actual effective date, sends a reminder to the broker and the buyer's lender contact a week out from the financing deadline, and flags that the extension notice window is closing before anyone has to go dig through the contract to check. When a deadline gets amended, which happens on nearly every deal, updating the source date recalculates every downstream milestone instead of leaving stale reminders in someone's calendar.
Checklist and Task Automation
Every asset type and deal structure comes with its own version of the same closing checklist: order the title commitment, schedule the Phase I, request estoppels, confirm insurance, coordinate the walkthrough, prepare the closing statement. Building that checklist from scratch on every deal, or copying one from the last similar deal and manually adjusting it, is where things get missed. AI can generate the right checklist from the deal's asset type, structure, and jurisdiction, then assign and track each task instead of a coordinator maintaining it by hand in a spreadsheet that only they update.
On a multifamily acquisition with agency debt, the checklist looks different from an all-cash single-tenant net lease deal, different loan documentation, different reserve requirements, different timeline for lender sign-off. The system builds the deal-specific list on day one, assigns each item to the right party (title company, lender contact, environmental consultant, internal coordinator), and moves items to done automatically when the linked document lands and passes review, rather than someone manually checking boxes based on an email they remember reading.
Status Updates to All Parties
A typical CRE transaction has five to ten people who each want to know where things stand, on their own schedule, without having to ask: the buyer, the seller, both attorneys, the lender, sometimes an investment committee or a co-investor group. Writing a fresh status update for each of them, in the right tone and level of detail, is a task that eats hours and gets skipped when things get busy, which is exactly when people most want an update. AI can generate these updates from the live state of the deal, checklist status, upcoming deadlines, open exceptions, so a coordinator reviews and sends rather than drafting from scratch each time.
For instance, a weekly update to a buyer's investment committee might summarize what closed out this week (title commitment received and clean, three of four estoppels in hand), what's still open (waiting on the fourth estoppel and the updated survey), and what's coming up (financing contingency expires in nine days). The same underlying deal data can produce a shorter, more operational note to the lender focused only on the items blocking their file. The point is not to remove the broker's voice from these communications, it's to remove the hour of manual status-gathering that happens before anyone can write them.
Closing Coordination
Closing week is where every open item converges: final walkthrough results, the closing statement reconciliation, wire instructions verification, signature pages from every party, and the actual scheduling of who signs what and when. This is also the highest-fraud-risk moment in the entire transaction, wire fraud targeting real estate closings is a well-documented problem, which means any automation here has to make verification easier, not skip it. AI can assemble the closing package, cross-check that every checklist item is actually complete before flagging the deal as closing-ready, and route final documents to the right signers, while keeping wire instruction verification as an explicit human step rather than something the system quietly handles.
In practice, that looks like the system confirming that all estoppels, the final title policy, and the executed loan documents are all present and reconciled against the checklist before generating the closing package for the attorneys, and separately flagging any last-minute change to wire instructions for a phone verification call rather than auto-forwarding it. The goal is a closing where the coordinator's attention goes to the two or three things that actually need a human judgment call that day, not to re-confirming forty things that were already confirmed a week ago.
