Tenant Estoppel Review: Build an Exception Register Before Closing

The short answer

Record the exact returned certificate and its version. Compare each assertion with the lease, amendments and relevant operating records. Preserve tenant qualifications verbatim, assign each unresolved question to a reviewer and retain the recorded disposition. Receiving a certificate, finishing its comparison and accepting a transaction deliverable are separate workflow states.

This guide describes evidence handling for CRE teams. It does not supply a certificate for signature or decide enforceability, waiver, legal sufficiency or whether a closing may proceed.

Identify the returned document

Start with tenant, premises, certificate date, version, supplied attachments, stated recipient and signature information visible in the document. Record what is missing rather than completing it by inference. The fictional records below are dated October 27, 2026 for a November review. Keep every revision; do not overwrite the returned file with a clean AI summary.

An SEC-filed lease’s Exhibit G illustrates the kinds of matters a particular certificate can address: amendments, rent, payment, deposit, dates, work and claims. Its terms and request period belong to that agreement. They are not a universal checklist or deadline.

Compare assertions, not just filenames

The existing lease abstraction workflow organizes the underlying documents. The lease audit checklist compares the lease stack and operating records. A returned estoppel adds another dated statement to compare with that evidence.

For each certification, retain the literal text, certificate reference, comparison document and exact clause or ledger location. Record an observation before a conclusion. A different paid-through date may require payment-timing or application evidence. A deposit requirement and the amount recorded as held answer different questions.

Separate missing evidence, apparent factual differences and interpretation questions. A register row should make the next review action clear without declaring which document controls.

Keep qualifications attached to the assertion

The ICSC’s 2019 conference materials on lenders, landlords and tenants discuss missing information, qualifications and keeping purchaser or lender counsel informed of objections. They support preserving the issue and routing it. They do not make an AI workflow the legal reviewer.

Retain crossed-out language and tenant-added exceptions in the source document. Store a literal transcription beside any summary. If a summary changes the meaning of a qualification, reject it and return to the document. The identity of the person who must decide the issue comes from the transaction’s review process. Assign a named person in a real handoff; the role labels in this exercise are placeholders.

Work a fictional exception register

All tenants, records and amounts below are synthetic teaching examples. They are short factual excerpts for an evidence exercise, not representations for anyone to sign.

CaseReturned statement and other evidenceNext review request
A: paymentCertificate says $9,500 monthly base rent, paid through October 31. Ledger shows $9,500 charged and $9,000 applied.Ask accounting to reconcile the $500 difference, timing and application. Do not automatically label a default or false certificate.
B: depositCertificate says $12,000 held. Lease requires $18,000; ledger records $12,000. No release or draw record is supplied.Preserve required and held amounts separately. Request deposit history and supporting records; route consequences to the legal reviewer.
C: tenant qualificationTenant adds: “roof leak credit request of $7,500 remains unresolved.” A repair clause and request are supplied, with no resolution.Preserve the exact qualification. Route the claim and documents to counsel and the transaction reviewer. Do not deduct a credit or infer entitlement.

Three received certificates do not establish three accepted deliverables. The useful output is a record of what was compared, what remains unresolved and who is responsible for the next step.

Make each handoff reviewable

A practical register contains tenant, premises, certificate version/date/reference, literal assertion or exception, comparison document and reference, observation, missing evidence, requested action, owner, requested response date, workflow status, disposition and supporting decision reference. Add a revised certificate version when one arrives.

A requested response date is an internal work instruction unless supported otherwise. Do not turn a date suggested by the workflow into a contractual requirement. Keep evidence received, comparison completed and reviewer disposition as separate fields.

Download the synthetic exception-register CSV. The expected checks are visible in the article and the file. It is not a substitute for transaction documents or professional review.

Test the summary and the status

In the exercise, remove the tenant’s qualification from a draft summary. The reviewer should catch that omission by comparing it with the literal source. Then add a revised certificate and confirm the earlier version remains recoverable. Closing a task must not silently change the certificate’s assertions.

Finally, ask whether a new team member can trace each disposition to its decision record. If the status says accepted but no responsible reviewer or supporting reference is recorded, the handoff is incomplete. That is a workflow finding, not a legal conclusion.

Continue the broader document review

Use the commercial underwriting playbook to organize the broader source-referenced review. The due-diligence software comparison addresses choosing a platform; this register addresses the returned-certificate handoff.

Bring your lease documents and review process to an underwriting workflow demo. We can scope document extraction, comparison and task routing. The responsible transaction professionals retain interpretation and acceptance decisions.

Frequently asked questions

Is receiving a tenant estoppel the same as accepting it for closing?

No. Record receipt, comparison completion and the responsible transaction reviewer's disposition as separate workflow states. The governing documents and responsible professionals determine requirements and acceptance.

What should happen when a certificate differs from a ledger?

Preserve both statements, their dates and references. Create a named reconciliation request, including missing evidence. Do not automatically label the difference a default, false certificate or approved adjustment.

Should an AI summary remove a tenant's qualification?

No. Retain the literal qualification alongside any summary and its document reference. Route interpretation and transaction consequences to the responsible professionals.

Does the register decide which document controls?

No. It organizes evidence, questions and recorded reviewer decisions. It does not determine enforceability, waiver, legal sufficiency or closing readiness.
